Terms of Service

1. Acceptance of Terms

By accessing or using the Gates x402 platform ("Service"), operated by Gates x402 ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Gates x402 is a platform that enables users to create payment gates ("Paygates") for digital content using the x402 payment protocol on the Solana blockchain. The Service facilitates USDC cryptocurrency payments between content creators and purchasers.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By using the Service, you represent and warrant that you meet these requirements and that your use complies with all applicable laws in your jurisdiction.

4. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials and wallet private keys
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

5. Payments and Fees

5.1 Transaction Fees

The platform charges a percentage-based fee on each transaction processed through a Paygate. The fee rate depends on your subscription tier (Free: 10%, Creator: 5%, Pro: 3%, Enterprise: 1%). Solana network fees are separate and paid by the purchaser.

5.2 Subscription Payments

Paid subscription tiers are billed monthly in USDC via the x402 protocol. Subscriptions auto-renew unless cancelled. You are responsible for ensuring sufficient funds are available for renewal.

5.3 Cryptocurrency Risks

All payments are made in USDC on the Solana blockchain. You acknowledge that cryptocurrency transactions are irreversible and that we have no ability to reverse, cancel, or refund blockchain transactions once confirmed. You accept all risks associated with using cryptocurrency, including price volatility and network congestion.

6. Creator Responsibilities

If you use the Service to sell content, you represent and warrant that:

  • You own or have the right to distribute all content you upload
  • Your content does not infringe any third-party intellectual property rights
  • Your content does not violate any applicable laws or regulations
  • You will accurately describe your content and pricing
  • You are solely responsible for any tax obligations arising from your sales

7. Prohibited Content and Conduct

You may not use the Service to:

  • Upload, sell, or distribute illegal content
  • Infringe on intellectual property rights of others
  • Distribute malware, viruses, or harmful code
  • Engage in fraud, money laundering, or terrorist financing
  • Circumvent or attempt to circumvent platform fees or security measures
  • Use the Service for any purpose that violates applicable law
  • Harass, abuse, or harm other users
  • Interfere with or disrupt the Service or its infrastructure

We reserve the right to remove content and suspend or terminate accounts that violate these Terms at our sole discretion.

8. Intellectual Property

The Service, including its design, code, and branding, is owned by Gates x402 and protected by intellectual property laws. You retain ownership of content you upload but grant us a limited license to host, display, and distribute it as necessary to operate the Service.

9. Third-Party Services

The Service integrates with third-party services including the Solana blockchain, x402 protocol facilitators, and Cloudflare. We are not responsible for the availability, accuracy, or practices of any third-party services. Your use of such services is subject to their respective terms.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATES X402 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Gates x402 and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including Sections 10, 11, and 12.

14. Changes to Terms

We may modify these Terms at any time by posting the updated version on this page with a revised "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration.
